Terms of Service

These Terms of Service ("Terms") govern your use of the products and services provided by Nomad State FZCO ("we," "us," or "our"), a company registered in Dubai, UAE, operating at nomadstate.org.

By accessing or using any of our products, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

Nomad State FZCO operates the following products:

  • Community Manager — An AI-powered community management tool for Discord and Telegram that provides automated moderation, question answering, and engagement features.
  • Stop the Spam — A Gmail cleanup tool that helps you identify and unsubscribe from unwanted newsletters and promotional emails.
  • Nomad Ops — A location intelligence mobile app for digital nomads (coming soon).

We reserve the right to modify, suspend, or discontinue any product or feature at any time, with or without notice.

2. User Accounts

To use certain features, you may need to create an account or sign in through a third-party authentication provider (such as Google OAuth). You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Providing accurate and up-to-date information during registration

You must notify us immediately at hello@nomadstate.org if you suspect unauthorized access to your account.

3. Payment Terms

Certain products require a paid subscription. All payments are processed securely through Stripe. By subscribing to a paid product, you agree to the following:

  • You authorize us to charge the payment method on file for the applicable subscription fees
  • All fees are quoted in US Dollars (USD) unless otherwise stated
  • You are responsible for any applicable taxes in your jurisdiction
  • Failed payments may result in suspension of your access until the balance is resolved

4. Subscription Terms

  • Subscriptions renew automatically at the end of each billing period (monthly) unless you cancel before the renewal date
  • You can cancel your subscription at any time through the product dashboard or by contacting us at hello@nomadstate.org
  • After cancellation, you retain access to the paid features until the end of your current billing period
  • We may change subscription pricing with at least 30 days' notice. Price changes take effect at your next billing cycle after the notice period

5. Free Products and Beta Services

Some products (such as Stop the Spam and Nomad Ops beta) are offered free of charge. Free products are provided "as is" without warranty. We reserve the right to introduce pricing for free products with advance notice.

6. Acceptable Use

You agree not to use our products to:

  • Violate any applicable law or regulation
  • Send spam, harass others, or distribute malicious content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of our products
  • Use automated tools (bots, scrapers) to access our services in a way that exceeds normal usage patterns
  • Interfere with or disrupt the integrity or performance of our products
  • Upload content that infringes on intellectual property rights of others

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

7. Intellectual Property

All content, designs, code, trademarks, and other intellectual property associated with our products and website are owned by Nomad State FZCO or our licensors. You may not copy, modify, distribute, or create derivative works from our intellectual property without prior written consent.

You retain ownership of any content you upload or create using our products. By uploading content, you grant us a limited, non-exclusive license to use, process, and store that content as needed to provide the service.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our products are provided "as is" and "as available" without warranties of any kind, whether express or implied
  • We do not warrant that our products will be uninterrupted, error-free, or secure
  • In no event shall Nomad State FZCO, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our products
  • Our total liability for any claim related to our services shall not exceed the amount you paid us in the 12 months preceding the claim

9. Indemnification

You agree to indemnify and hold harmless Nomad State FZCO and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our products or violation of these Terms.

10. Third-Party Services

Our products may integrate with or link to third-party services (including Stripe, Google, Discord, and Telegram). We are not responsible for the content, privacy practices, or availability of these third-party services. Your use of third-party services is governed by their respective terms and policies.

11. Termination

We may suspend or terminate your access to our products at any time if you violate these Terms or if we discontinue a product. You may also terminate your account at any time by contacting us at hello@nomadstate.org.

Upon termination, your right to use the products ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will remain in effect.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or relating to these Terms or your use of our products shall be subject to the exclusive jurisdiction of the courts of the Dubai International Financial Centre (DIFC).

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date above. Your continued use of our products after changes are posted constitutes your acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
